Özet
6102 sayılı Türk Ticaret Kanunu (TTK) m. 490 uyarınca nama yazılı payların serbestçe devredilebilmesi kuraldır. Kanun koyucu bu kurala TTK m. 491 hükmüyle istisna getirmiştir. Hükmün uygulanabilmesi için bedeli tamamen ödenmemiş nama yazılı pay olmalı ve kanunda öngörülen devir türlerinden biri bulunmalıdır. Bu koşullar varsa, nama yazılı payların devrinde devralanın ödeme yeterliliği şüphesiyse ve şirket tarafından istenilen teminat verilmemişse şirket devre onaydan kaçınabilecektir. TTK’de hükmün sonuçları düzenlenmemiştir. Bu durumda kanunda boşluk bulunmaktadır. Bu kapsamda çalışmada, öncelikle TTK m. 491’in uygulanma koşulları incelenmiştir. Ardından konu, yönetim kurulu ile sınırlandırılarak bedeli tamamen ödenmemiş nama yazılı payın devrinin reddedilebileceği durumlar irdelenmiştir. Son olarak hükmün uygulanmasının sonuçları payın devrine onay verilip verilmemesi açısından ikiye ayrılarak değerlendirilmiştir. Payın devrine onay verilen haller hukuka uygun ve hukuka aykırı ret bakımından ele alınmıştır.
Pursuant to Article 490 of the Turkish Commercial Code (TCC) No. 6102, the free transferability of registered shares constitutes the rule. The legislator has introduced an exception to this principle through Article 491 TCC. For this provision to apply, the registered shares must not be fully paid up, and the transfer must fall within one of the types of transfer envisaged by the Code. Where these conditions are met, the company may refuse to grant approval for the transfer of registered shares if there is a concern regarding the transferee’s payment ability and if the security requested by the company has not been provided. The consequences of Article 491 TCC are not regulated under the Code; therefore, a legislative gap exists in this respect. Within this framework, the present study first examines the conditions for the application of Article 491 TCC. It then focuses on the board of directors and analyses the circumstances under which the transfer of registered shares that have not been fully paid may be refused. Finally, the consequences of the provision’s application are assessed by distinguishing between cases in which approval for the transfer is granted and those in which it is denied. Situations in which approval is granted are evaluated in terms of both lawful refusals and refusals contrary to law.
